These Terms and Conditions, together with our Privacy Policy and any other applicable terms (collectively, the “Terms”), constitute a binding agreement between Succeedo Global LLP, operating under the brand name SubsShield (“SubsShield”, “we”, “us”, or “our”), and you (“you” or “your”), and govern your use of our website and services (collectively, the “Services”).

SubsShield operates the website subsshield.com and provides automated payment recovery services to B2B clients. Depending on the client's integration, these recovery communications are delivered to end-users either directly under the client’s own verified brand name, or through our shared communications infrastructure under the service name Secure Pay by SubsShield.

By accessing or using our website or Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms, including our Privacy Policy. We may modify these Terms at any time, at our sole discretion, without prior notice. It is your responsibility to review these Terms periodically for any updates. Your continued use of the website or Services after any such changes constitutes your acceptance of the revised Terms.

1. Overview

These Terms & Conditions govern your use of the SubsShield website, APIs, and SaaS platform. By subscribing to SubsShield, you agree to these terms. SubsShield is a B2B software designed to help businesses recover failed recurring payments and manage involuntary churn.

2. Pricing and Billing

SubsShield operates on a subscription model. The service is provided at a flat rate per month. By providing a payment method, you authorize us to charge this subscription amount on a recurring monthly basis until you cancel.

3. Acceptable Use and Compliance

You agree to use SubsShield only for lawful B2B payment recovery purposes. You must have the legal right and necessary user consents to share your customers' payment failure data with us. You agree not to reverse-engineer our platform, abuse our APIs, or use our service to send unsolicited spam.

4. Limitation of Liability

SubsShield provides automated tools for revenue recovery but does not guarantee the successful recovery of any specific failed payment. Succeedo Global LLP shall not be held liable for any indirect, incidental, or consequential damages, or loss of revenue arising from the use or inability to use our platform or payment gateway outages (e.g., RBI mandate or UPI AutoPay failures).

5. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India. Any disputes arising out of or related to these Terms or the use of SubsShield shall be subject to the exclusive jurisdiction of the courts in Delhi, India.
